The property manager operates the building on behalf of and for the account of the co-owners, within the limits prescribed by law and defined by the co-ownership agreement and the management agreement. The property manager is not an independent decision-maker \u2013 they execute the will of the co-owners.<\/p>\n<p><span style=\"color: #000000;\"><strong>What must the property manager ensure?<\/strong><\/span><\/p>\n<p>According to the law, the <strong>property manager<\/strong> must ensure:<\/p>\n<ol>\n<li data-start=\"609\" data-end=\"646\">Regular maintenance of the building<\/li>\n<li data-start=\"649\" data-end=\"696\">Emergency interventions in case of breakdowns<\/li>\n<li data-start=\"699\" data-end=\"766\">Preparation of <strong>annual and multi-annual building maintenance plans<\/strong><\/li>\n<li data-start=\"769\" data-end=\"879\">Execution of legally prescribed inspections (chimneys, gas, electricity, elevators, fire protection systems)<\/li>\n<li data-start=\"882\" data-end=\"934\">Keeping building and technical maintenance records<\/li>\n<\/ol>\n<hr \/>\n<p><strong>Annual and Multi-Annual Management Plans<\/strong><\/p>\n<ul>\n<li>\n<p data-start=\"993\" data-end=\"1329\">The <strong>property manager<\/strong> prepares the annual and multi-annual plans based on the legal provisions on building maintenance and the wishes\/instructions of the co-owners communicated through the building representative. Co-owners adopt the plan by a majority of ownership shares, which also <strong>determines the amount of the reserve fund (service charge).<\/strong><\/p>\n<\/li>\n<li>\n<p data-start=\"993\" data-end=\"1329\">The<strong> property manager<\/strong> is obliged to prepare a proposal for the annual maintenance program of the common parts of the building, in line with the multi-annual building maintenance program, obligations arising from court proceedings, and construction-related regulations, and deliver it to the building representative <strong data-start=\"1638\" data-end=\"1696\">no later than November 15 of the current calendar year<\/strong>.<\/p>\n<\/li>\n<li>\n<p data-start=\"993\" data-end=\"1329\">The <strong>property manager<\/strong> is also obliged to prepare a proposal for the multi-annual building maintenance program in line with construction-related regulations and deliver it to the building representative <strong data-start=\"1895\" data-end=\"1953\">no later than December 31 of the current calendar year<\/strong>.<\/p>\n<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<h1><span style=\"color: #b80b0b;\">CO-OWNERS ASSOCIATION<\/span><\/h1>\n<hr \/>\n<p data-start=\"90\" data-end=\"420\"><strong>A co-owners\u2019 association<\/strong> is made up of all owners of apartments, business premises, and other special units within a building. It represents an organized form of managing and caring for the common property of the building, while also serving as a forum through which co-owners exercise their rights and fulfil their obligations.<\/p>\n<p data-start=\"0\" data-end=\"178\">A <strong data-start=\"2\" data-end=\"40\">co-owner of a residential building<\/strong> is any natural or legal person who owns a separate part of the building \u2013 an apartment, business premises, or another independent unit.<\/p>\n<p data-start=\"180\" data-end=\"486\">An <strong data-start=\"183\" data-end=\"196\">apartment<\/strong> is a distinct part of the building in which all rights belong to its owner, intended exclusively for residential use. In addition to residential units, a building may also contain <strong data-start=\"377\" data-end=\"398\">commercial spaces<\/strong> and <strong data-start=\"403\" data-end=\"417\">open areas<\/strong> such as terraces, which are likewise part of the common ownership. All co-owners are <strong data-start=\"506\" data-end=\"551\">obliged to contribute to the reserve fund<\/strong>, which finances the regular maintenance and improvement of the building\u2019s common areas.<\/p>\n<p data-start=\"643\" data-end=\"1056\" data-is-last-node=\"\" data-is-only-node=\"\">Each co-owner has the <strong data-start=\"665\" data-end=\"698\">right to complete information<\/strong> on all matters related to the management and maintenance of the building.<\/p>\n<p data-start=\"643\" data-end=\"1056\" data-is-last-node=\"\" data-is-only-node=\"\">This is particularly important in financial matters \u2013 the funds on the building\u2019s account are provided exclusively by the co-owners, which means it is both their <strong data-start=\"937\" data-end=\"965\" data-is-only-node=\"\">right and responsibility<\/strong> to know how the money is being invested and to participate in the decision-making process.<\/p>\n<p data-start=\"422\" data-end=\"774\">Under the new draft Law, the co-owners\u2019 association is no longer regarded merely as an informal arrangement, but instead becomes a <strong data-start=\"553\" data-end=\"569\">legal entity<\/strong>. This significantly strengthens its role and legal certainty \u2013 the association can enter into contracts, open bank accounts, acquire rights, assume obligations, and initiate or defend legal proceedings.<\/p>\n<p data-start=\"776\" data-end=\"1101\">The fundamental document governing relations between co-owners and the functioning of the association is the <strong data-start=\"885\" data-end=\"911\">co-ownership agreement<\/strong>. This document defines the rights and obligations of all co-owners, the rules of decision-making, and issues related to the maintenance and management of the common parts of the building.<\/p>\n<p data-start=\"1103\" data-end=\"1538\">For easier and more transparent operations, every co-owners\u2019 association is assigned its own <strong data-start=\"1196\" data-end=\"1236\">personal identification number (OIB)<\/strong>. The OIB is issued by the Tax Administration, and the data are automatically connected to the State Register of Co-Owners\u2019 Associations. In this way, the association can participate in legal transactions like other legal entities, but solely for the purpose of managing and maintaining its building.<\/p>\n<p data-start=\"1540\" data-end=\"1780\">In practice, this means that co-owners, through the association, have a clearer and more effective framework for joint decision-making, planning, and financing works, as well as for protecting their interests in relation to third parties.<\/p>\n<hr \/>\n<p data-start=\"1787\" data-end=\"1843\"><span style=\"color: #000000;\"><strong>1. LEGAL PERSONALITY OF THE CO-OWNERS\u00b4 ASSOCIATION\u00a0<\/strong><\/span><\/p>\n<p data-start=\"1845\" data-end=\"2242\">According to the new legal provisions, the co-owners\u2019 association acquires <strong data-start=\"1920\" data-end=\"1941\">legal personality<\/strong> only upon registration in the Register of Co-Owners\u2019 Associations. From that moment, the association can independently participate in legal transactions \u2013 for example, entering into contracts, maintaining its own bank account, and initiating or defending proceedings before courts and institutions.<\/p>\n<p data-start=\"2244\" data-end=\"2336\">Legal personality ceases in cases where the association no longer exists, which may occur:<\/p>\n<ul data-start=\"2337\" data-end=\"2588\">\n<li data-start=\"2337\" data-end=\"2452\">\n<p data-start=\"2339\" data-end=\"2452\">if there is only one remaining co-owner in the building (in which case the association is no longer needed), or<\/p>\n<\/li>\n<li data-start=\"2453\" data-end=\"2588\">\n<p data-start=\"2455\" data-end=\"2588\">if the association merges with another co-owners\u2019 association (e.g., when two buildings are combined into one organizational unit).<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"2590\" data-end=\"2893\">Each co-owners\u2019 association is identified by its <strong data-start=\"2639\" data-end=\"2646\">OIB<\/strong> and its official name. The name always consists of the word <em data-start=\"2707\" data-end=\"2719\">\u201cBuilding\u201d<\/em> followed by the address of the building (example: <em data-start=\"2770\" data-end=\"2812\">Building, Nikola Tesla Street 10, Zagreb<\/em>). This address also serves as the official registered seat of the association.<\/p>\n<p data-start=\"2895\" data-end=\"3134\">The OIB is issued by the Tax Administration through an automatic data exchange with the Register of Co-Owners\u2019 Associations. This system introduces greater transparency and simplifies dealings with banks, contractors, and other partners.<\/p>\n<p data-start=\"3136\" data-end=\"3288\">In summary: the co-owners\u2019 association becomes a legal entity only upon registration, and its identity is based on the building\u2019s address and its OIB.<\/p>\n<p data-start=\"3295\" data-end=\"3347\"><span style=\"color: #000000;\"><strong>2.TAX TREATMENT OF THE CO-OWNERS\u00b4 ASSOCIATION\u00a0\u00a0<\/strong><\/span><\/p>\n<p data-start=\"3349\" data-end=\"3699\">Although the co-owners\u2019 association acquires legal personality under the new rules, it is <strong data-start=\"3439\" data-end=\"3486\">not considered a corporate income tax payer<\/strong> as long as it carries out only the activities for which it was established \u2013 i.e., the management and maintenance of the building. In this respect, its position is comparable to other non-profit legal entities.<\/p>\n<p data-start=\"3701\" data-end=\"4155\">A tax liability arises only if the association begins to engage in <strong data-start=\"3768\" data-end=\"3793\">commercial activities<\/strong> that generate profit or income beyond its primary purpose. In that case, corporate income tax is calculated and paid exclusively on the income from that commercial activity. When assessing whether an activity is considered commercial, the actual operations and intent are evaluated \u2013 whether the activity is aimed at making profit and how that profit is used.<\/p>\n<p data-start=\"4162\" data-end=\"4210\"><span style=\"color: #000000;\"><strong>3. LIABILITY OF THE CO-OWNERS\u00b4 ASSOCIATION\u00a0<\/strong><\/span><\/p>\n<p data-start=\"4162\" data-end=\"4210\">As a legal entity, the co-owners\u2019 association is liable for <strong data-start=\"4272\" data-end=\"4392\">any damage resulting from the failure to carry out, or the improper performance of, building maintenance obligations<\/strong>. It is also liable for damages caused by the common parts of the building in situations where it cannot be determined from which specific unit the damage originated.<\/p>\n<p data-start=\"4562\" data-end=\"5001\">Liability does not rest solely with the association \u2013 <strong data-start=\"4616\" data-end=\"4666\">all co-owners are jointly and severally liable<\/strong>, and the <strong data-start=\"4676\" data-end=\"4696\">building manager<\/strong> may also be held liable if it is proven that the damage resulted from their failure to perform legal or contractual duties. The aim of this provision is to provide stronger protection for third parties and to encourage both co-owners and managers to ensure responsible and regular building maintenance.<\/p>\n<p data-start=\"5008\" data-end=\"5050\"><strong><span style=\"color: #000000;\">4. MERGER OF CO-OWNERS\u00b4 ASSOCIATIONS\u00a0<\/span><\/strong><\/p>\n<p data-start=\"5052\" data-end=\"5304\">The new law also provides for the possibility of <strong data-start=\"5101\" data-end=\"5119\">status changes<\/strong>, including the merger of one co-owners\u2019 association into another. Such a decision is adopted by an absolute majority of co-owners in each of the associations involved in the process.<\/p>\n<p data-start=\"5306\" data-end=\"5658\">The merger is formalized through a <strong data-start=\"5341\" data-end=\"5361\">merger agreement<\/strong>, which sets out in detail the mutual rights and obligations of the associations. This option has been introduced to make management simpler and more efficient, particularly in cases where two or more buildings share common interests or function more effectively as a larger organizational unit.<\/p>\n<p><span style=\"color: #000000;\"><strong>5. WHAT CO-OWNERS AND REPRESENTATIVES NEED TO KNOW<\/strong><\/span><\/p>\n<ul>\n<li><strong data-start=\"109\" data-end=\"158\">Co-owners are responsible for decision-making<\/strong> \u2013 The property manager cannot independently decide on important matters such as building renovation, elevator installation, or changes to the reserve fund amount. These decisions are made by co-owners through a majority vote.<\/li>\n<li><strong data-start=\"389\" data-end=\"436\">Co-owners elect the building representative<\/strong> \u2013 by an absolute majority of ownership shares.<\/li>\n<li><strong data-start=\"488\" data-end=\"535\">The building representative is a key figure<\/strong> \u2013 The representative communicates with the property manager and conveys the decisions of the co-owners. They play an important role in coordinating and implementing the decisions of the community.<\/li>\n<li><strong data-start=\"728\" data-end=\"771\">Co-owners must be informed and involved<\/strong> \u2013 Active participation of co-owners in decision-making and in monitoring the work of the property manager is essential for effective building management.<\/li>\n<\/ul>\n<p data-start=\"628\" data-end=\"676\"><span style=\"color: #000000;\"><strong data-start=\"635\" data-end=\"676\">6. In accordance with the provisions of the Co-ownership Agreement, the authorized representative, together with the building manager, co-signs payment orders for building maintenance invoices issued by contractors. To execute any payment from the building\u2019s account, both the authorized person and the manager must sign the order. At the end of each year, all co-owners receive a report containing a list of all payments made from the building\u2019s transaction account.<\/p>\n<p><strong>What is the procedure for changing the co-owners\u2019 representative?<\/strong><\/p>\n<p>Changing the authorized co-owners\u2019 representative requires the following steps:The majority of co-owners must give their consent for the appointment of a new authorized person and submit it to the manager.An annex to the Co-ownership Agreement is then prepared to officially document the change.The new authorized representative signs the annex to confirm their status.The annex is notarized to legalize the change. It clearly defines the rights and duties of all co-owners, as well as the decision-making process regarding the building\u2019s operation.<\/p>\n<p data-start=\"345\" data-end=\"380\">The agreement typically includes:<\/p>\n<ul>\n<li data-start=\"383\" data-end=\"428\">details of each co-owner\u2019s ownership share,<\/li>\n<li data-start=\"431\" data-end=\"484\">the manner and conditions of managing the building,<\/li>\n<li data-start=\"487\" data-end=\"538\">information about the appointed building manager,<\/li>\n<li data-start=\"541\" data-end=\"612\">a description and scope of the manager\u2019s duties and responsibilities,<\/li>\n<li data-start=\"615\" data-end=\"704\">the method of forming, collecting, and using the building\u2019s maintenance (reserve) fund,<\/li>\n<li data-start=\"707\" data-end=\"795\">information about the building representative, including their powers and obligations,<\/li>\n<li data-start=\"798\" data-end=\"885\">rules for the use of common premises, facilities, and land belonging to the building.<\/li>\n<\/ul>\n<p data-start=\"887\" data-end=\"1362\"><strong>The building representative<\/strong> plays an important role in communication between the co-owners and the manager. Their duties include, among other things, participating in discussions and the selection of contractors, confirming completed work orders, and ensuring the proper use of shared areas and facilities. The representative must regularly inform co-owners about all significant matters concerning the building\u2019s management and submit an annual report on their activities.<\/p>\n<p data-start=\"1364\" data-end=\"1649\">The representative cannot independently make decisions on matters under the authority of the co-owners, nor can they manage the maintenance fund at their own discretion. They are accountable to all co-owners for their work and must compensate for any damage caused by irregularities.<\/p>\n<p data-start=\"1651\" data-end=\"2008\">Decisions made under the Co-Ownership Agreement are binding on all co-owners if signed by the majority, that is, by co-owners whose total ownership shares exceed half of the total value of all separate units in the building. The provisions of the agreement also apply to new co-owners who subsequently acquire ownership of a separate part of the property.<\/p>\n<p data-start=\"2010\" data-end=\"2315\" data-is-last-node=\"\" data-is-only-node=\"\">In this way, the Co-Ownership Agreement serves as a fundamental document establishing order, responsibility, and transparency in the management of shared property, while also appointing a person \u2014 the building manager \u2014 who ensures the proper and safe operation of the property on behalf of the co-owners.<\/p>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<\/article>\n<hr \/>\n<p><strong>Legal obligation and effect<\/strong><\/p>\n<ol>\n<li data-start=\"1206\" data-end=\"1345\"><em>Decisions from the Co-ownership Agreement are binding on all co-owners if concluded by a majority (more than 50% of co-ownership shares).<\/em><\/li>\n<li data-start=\"1348\" data-end=\"1466\"><em>The agreement is binding on future co-owners, i.e. those acquiring ownership after the agreement has been concluded.<\/em><\/li>\n<li data-start=\"1469\" data-end=\"1615\"><em>It formally defines the scope of decision-making and the appointment of the building manager (pursuant to Art. 375, para. 2, item 3 of the Law).<\/em><\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<h1><span style=\"color: #b80d0d;\">PROPERTY MANAGEMENT AGREEMENT<\/span><\/h1>\n<hr \/>\n<p><span style=\"color: #000000;\"><strong>Authorizations and obligations of the property manager:<\/strong><\/span><\/p>\n<ul>\n<li data-start=\"118\" data-end=\"247\">organizing the regular maintenance of the building\u2019s common parts and installations in terms of construction and functionality,<\/li>\n<li data-start=\"250\" data-end=\"313\">carrying out periodic and annual inspections of the property,<\/li>\n<li data-start=\"316\" data-end=\"396\">determining the amount of the reserve fund contribution owed by each co-owner,<\/li>\n<li data-start=\"399\" data-end=\"457\">organizing the collection of reserve fund contributions,<\/li>\n<li data-start=\"460\" data-end=\"643\">managing the funds allocated by co-owners for covering the maintenance costs of the building\u2019s common parts and installations, in accordance with the annual or multi-annual program,<\/li>\n<li data-start=\"646\" data-end=\"730\">organizing building insurance against risks in accordance with the annual program,<\/li>\n<li data-start=\"733\" data-end=\"842\">taking out loans to secure additional funds for building maintenance costs, based on a co-owners\u2019 decision,<\/li>\n<li data-start=\"845\" data-end=\"960\">representing co-owners before courts and other state authorities in proceedings arising from building management,<\/li>\n<li data-start=\"963\" data-end=\"1056\">providing legal assistance to the co-owners\u2019 representative in management-related matters \u2026<\/li>\n<\/ul>\n<p data-start=\"1063\" data-end=\"1396\"><strong data-start=\"1063\" data-end=\"1072\">Note:<\/strong><em> An integral part of the Management Agreement is the Management Program for a defined period, i.e. the Annual Management Program (GPU). This document sets out the proposed work plan of the manager for a defined period (annual or multi-annual), including planned works and funds to be spent on building maintenance.
